HERD: Set the Stage for Success

Course User Agreement

Effective Date: October 31, 2026

Welcome to HERD: Set the Stage for Success, an online educational course offered by Alces Academy LLC (“Alces Academy,” “we,” “us,” or “our”).

This Course User Agreement explains the terms that apply when you purchase, access, or use the course and its associated materials. By purchasing, accessing, or using the course, you agree to this Agreement. If you do not agree, do not purchase or use the course.

1. About HERD: Set the Stage for Success

HERD: Set the Stage for Success is an educational course designed to help parents and caregivers better understand behavior and apply practical strategies in everyday situations.

The course introduces the HERD framework:

  • H — Help: Understand what behavior may be communicating and identify unmet needs or missing skills.

  • E — Engage: Build cooperation and connection through meaningful interaction and supportive relationships.

  • R — Regulate: Recognize the role of regulation and create conditions that support learning.

  • D — Design: Arrange routines, environments, and expectations to make success more achievable.

Course materials may include prerecorded lessons, written content, worksheets, downloadable resources, and other educational materials.

2. Educational Purpose and Limitations

HERD: Set the Stage for Success provides general educational information. It is not a substitute for individualized professional assessment or services, medical care, mental health treatment, or emergency assistance.

Purchasing or completing the course does not establish a professional, therapeutic, or provider-client relationship between you and Alces Academy LLC.

The strategies and examples presented may not be appropriate for every child, family, or situation. Individual needs, circumstances, and safety considerations vary. The course does not provide individualized recommendations for your child unless a separate service agreement expressly establishes such services.

You are responsible for deciding whether and how to apply the information provided. Use your judgment, consider your child's individual needs, and seek appropriate professional guidance when needed. If a situation involves an immediate safety concern or emergency, contact the appropriate emergency or crisis service rather than relying on course materials.

3. Eligibility and Account Responsibilities

You must be at least 18 years old to purchase or access the course unless a parent or legal guardian is purchasing or authorizing access as permitted by applicable law and the course's stated terms.

You agree to provide accurate information when registering or purchasing the course and to keep your account information secure. You are responsible for activity conducted through your account and agree to notify us if you suspect unauthorized access.

Course access is intended for the individual purchaser unless a household, group, or other license is expressly offered and purchased. You may not share your login credentials or provide access to others in a way that violates the license terms.

4. Course Access and Availability

Upon purchase, you will receive access to HERD: Set the Stage for Success for 12 months beginning on the date access is provided.

During this period, you may access the course lessons and available course materials for your personal educational use, subject to this Agreement. Access to online course materials will end when the 12-month access period expires.

You may retain copies of downloadable resources that you save during the access period for your personal use, subject to the intellectual property terms in this Agreement. Access to future course updates, replacement materials, or additional content is not guaranteed unless expressly stated.

We may occasionally update or improve course content. Access may be interrupted because of maintenance, technical problems, or circumstances outside our control. We will make reasonable efforts to maintain access, but we cannot guarantee uninterrupted availability.

If you experience a technical problem that prevents you from accessing purchased content, contact us at danina@alcesacademy.com so we can help resolve the issue.

5. Intellectual Property and Permitted Use

All course content and materials are owned by Alces Academy LLC or used with permission and are protected by applicable intellectual property laws. Materials may include videos, text, graphics, frameworks, worksheets, downloads, and the HERD framework as presented in the course.

When you purchase the course, you receive a limited, personal, nonexclusive, nontransferable license to access and use the materials for your own educational purposes, subject to this Agreement.

You may download or print materials specifically designated for that purpose for your personal use.

Unless we give you prior written permission, you may not:

  • Copy, distribute, sell, publish, sublicense, or publicly display course materials.

  • Share your login credentials or provide unauthorized access to the course.

  • Reproduce course materials for commercial use, paid instruction, or another course or program.

  • Modify or remove copyright notices or other ownership information.

  • Use course materials to create or market a competing product or service.

  • Use course content to train, fine-tune, or develop artificial intelligence models or datasets.

  • Claim our materials, frameworks, or original content as your own.

Your access license does not transfer ownership of the course materials to you. We reserve all rights not expressly granted in this Agreement.

6. Personal Application and Responsibility

Children and families differ, and no single strategy works in every situation. Course examples are provided for educational purposes and are not promises of specific outcomes.

You remain responsible for your parenting decisions, the supervision and safety of your child, and the choices you make when applying course information. Consider your child's developmental level, communication abilities, health, safety, and individual circumstances before using a strategy.

If you have concerns about significant behavioral, developmental, medical, mental health, or safety needs, consult an appropriately qualified professional. Course participation does not replace individualized support when it is needed.

7. Community Participation and Respectful Use

If the course includes a discussion area, group, comments, or another community feature, you agree to participate respectfully and lawfully.

You may not use community features to harass, threaten, impersonate, unlawfully discriminate against, or harm others; post unlawful or misleading content; or distribute unsolicited advertising or spam.

Please respect the privacy of other participants. Do not share another participant's stories, comments, screenshots, or identifying information outside the community without their permission.

Avoid posting identifying information about children or other individuals unless you have the appropriate legal authority and authorization to do so. Please do not share sensitive personal, medical, or family information in course comments or community spaces.

We may moderate, remove, or restrict content or participation that violates this Agreement or threatens the safety or respectful use of the course. We cannot guarantee that other participants will keep information shared in a community confidential, so use discretion when posting.

8. Privacy and Personal Information

Our collection and use of personal information are described in our Privacy Policy:

Please avoid submitting sensitive personal, health, or identifying information about yourself, your child, or another person through course forms, comments, or community features. The course platform is not intended to function as a secure clinical record system.

Course messages and community features are not monitored as emergency services. Do not use them to request urgent assistance.

9. Fees, Payments, and Taxes

The price and applicable payment terms will be displayed at checkout. You agree to pay the price and any applicable taxes disclosed during the purchase process.

Payments may be processed by a third-party payment provider and may be subject to that provider's terms.

Purchasing this course does not include individualized coaching, consultation, assessment, or other professional services unless those services are expressly identified as included in the purchase. Any separate services may require a separate agreement and additional fees.

10. Refund Policy

If you are not satisfied with HERD: Set the Stage for Success, you may request a refund within seven calendar days of your purchase, provided you have completed less than 25% of the course.

To request a refund, email danina@alcesacademy.com within the seven-day period. Please include your name, purchase information, and a brief request for a refund.

We may verify your purchase date and course progress to determine eligibility. Approved refunds will be returned to the original payment method. Processing times may vary depending on your payment provider.

After the seven-day refund period, purchases are generally nonrefundable, except where a refund is required by law or expressly approved by Alces Academy LLC.

If you experience a technical problem that prevents you from accessing the course, please contact us so we can work with you to resolve the issue.

Nothing in this policy limits consumer rights that cannot legally be waived.

11. No Guarantee of Results

We aim to provide useful, practical, evidence-informed educational content. However, we cannot guarantee that completing the course or applying its strategies will produce a particular result for you, your child, or your family.

Outcomes depend on many factors, including individual circumstances, consistency of implementation, environmental conditions, and needs that may require additional support.

To the extent permitted by law, the course and its materials are provided without warranties beyond those that cannot legally be excluded. This section does not limit any rights or protections that applicable law makes nonwaivable.

12. Third-Party Platforms and Links

The course may be hosted on a third-party platform and may contain links to external websites, tools, or services. Those platforms and services may have their own terms, privacy policies, and availability limitations.

We are not responsible for the content, policies, security, or operation of third-party websites or services that we do not control. A link or reference does not necessarily imply endorsement.

13. Suspension or Termination of Access

We may suspend or terminate your access if you materially violate this Agreement, misuse the course, infringe intellectual property rights, compromise the security of the platform, or engage in conduct that threatens the course or its participants.

Where appropriate or required by law, we will provide notice and an opportunity to address the issue before restricting access.

Any refund following suspension or termination will be handled in accordance with this Agreement and applicable law. Nothing in this section removes rights that cannot legally be waived.

Sections concerning intellectual property, limitations of liability, governing law, and any other provisions that by their nature should continue will remain effective after access ends.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Alces Academy LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your access to or use of the course.

To the fullest extent permitted by law, Alces Academy LLC's total liability for claims arising from or related to the course or this Agreement will not exceed the amount you paid for the course.

These limitations do not apply where prohibited by law and do not exclude or limit liability or consumer rights that cannot legally be excluded or limited.

15. Changes to This Agreement

We may revise this Agreement from time to time to reflect changes to the course, our practices, or applicable legal requirements.

The current version will identify its effective date and be made available through the course or our website. If a change materially affects your rights or obligations, we will provide notice when required by law.

Changes will not retroactively remove rights or benefits that you are legally entitled to retain. Your continued use of the course after an updated Agreement takes effect constitutes acceptance of the revised terms only to the extent permitted by applicable law.

16. Governing Law and Disputes

This Agreement is governed by the laws of the State of Utah, without regard to its conflict-of-law rules, except where applicable law requires otherwise.

Any dispute relating to this Agreement will be handled in a court with appropriate jurisdiction, subject to applicable law and any nonwaivable consumer protections.

17. General Terms

If any provision of this Agreement is found unenforceable, the remaining provisions will continue to apply to the extent legally permitted.

This Agreement, together with the applicable purchase terms and policies referenced in it, represents the agreement between you and Alces Academy LLC regarding your use of the course, except where a separate written agreement applies.

You may not transfer your rights or obligations under this Agreement to another person without our prior written permission. We may assign this Agreement as part of a lawful business reorganization, transfer, or sale, subject to applicable law.

Nothing in this Agreement creates a partnership, employment relationship, or agency relationship between you and Alces Academy LLC.
